Any disputes arising under a separate executed Client Services Agreement shall be governed by the governing law and dispute resolution provisions specified in that agreement.
Informal Negotiations
To facilitate the efficient resolution of disputes, controversies, or claims arising out of or relating to these Terms of Use or your use of the Site (each a “Dispute”), you and Violet Neuron (individually, a “Party” and collectively, the “Parties”) agree to first attempt to resolve any Dispute through good-faith informal negotiations.
Either Party may initiate informal negotiations by providing written notice to the other Party describing the nature of the Dispute and the relief requested.
The Parties agree to attempt informal resolution for at least 30 days following receipt of such notice before initiating formal legal proceedings, except where immediate legal action is necessary to seek injunctive relief, preserve legal rights, or comply with applicable legal deadlines.
Jurisdiction and Venue
If a Dispute cannot be resolved through informal negotiations, either Party may initiate legal proceedings in the state or federal courts located in the State of Delaware, United States, subject to applicable jurisdictional requirements and mandatory provisions of law.
To the extent permitted by applicable law, the Parties consent to the personal jurisdiction of these courts and agree that Delaware shall be the exclusive venue for resolving Disputes arising under these Terms of Use.
Exceptions
Nothing in this section prevents either Party from seeking temporary, preliminary, or permanent injunctive relief from a court of competent jurisdiction when necessary to protect intellectual property rights, confidential information, or other legally protected interests.
Nothing in this section limits any rights or remedies that cannot lawfully be waived or restricted.
Separate Client Services Agreements
This section applies only to Disputes arising out of or relating to these Terms of Use or use of the Site. Any disputes arising under a separate executed Client Services Agreement shall be governed by the dispute resolution provisions specified in that agreement.
The Site may occasionally contain typographical errors, inaccuracies, omissions, or outdated information, including information relating to our services, pricing, availability, descriptions, and other materials.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIOLET NEURON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT OR REPRESENT THAT:
ANY CASE STUDIES, TESTIMONIALS, PERFORMANCE METRICS, REVENUE FIGURES, ADVERTISING RESULTS, OR OTHER EXAMPLES PRESENTED ON THE SITE ARE PROVIDED FOR INFORMATIONAL OR ILLUSTRATIVE PURPOSES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIOLET NEURON DISCLAIMS RESPONSIBILITY FOR ERRORS, INTERRUPTIONS, TECHNICAL FAILURES, UNAUTHORIZED THIRD-PARTY ACTIVITIES, OR OTHER ISSUES ARISING FROM ACCESS TO OR USE OF THE SITE, EXCEPT WHERE SUCH RESPONSIBILITY CANNOT LAWFULLY BE EXCLUDED.
NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY FOR FRAUD, INTENTIONAL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIOLET NEURON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE.
THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, EVEN IF VIOLET NEURON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF VIOLET NEURON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO VIOLET NEURON SPECIFICALLY FOR ACCESS TO OR USE OF THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

We may assign or transfer our rights and obligations under these Terms of Use in connection with a merger, acquisition, corporate restructuring, sale of assets, or other lawful business transaction, subject to applicable law. You may not assign your rights or obligations under these Terms of Use without our prior written consent, except where applicable law provides otherwise.
To the fullest extent permitted by applicable law, Violet Neuron shall not be responsible for delays, interruptions, or failures to perform obligations arising from circumstances beyond our reasonable control, including natural disasters, governmental actions, labor disruptions, telecommunications failures, cybersecurity incidents, or interruptions involving third-party service providers.
If any provision of these Terms of Use is determined to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law or, if necessary, severed.
